Terms of Service

1. Agreement to Terms

By accessing or using ReviewFloAI ("Service"), operated by FLM Systems LLC, doing business as ReviewFloAI ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ReviewFloAI is an AI-powered review response management platform for restaurants. The Service helps you manage and respond to your Google Business Profile reviews, and is offered in two modes depending on your plan.

Key aspects of the Service:

• We use artificial intelligence (Anthropic and OpenAI) to generate draft responses to your reviews. Every draft passes through our quality and safety checks before it is finalized.
• On all plans, you grant our team Manager access to your Google Business Profile so we can read your reviews and post replies for you.
• Self-serve (Starter): you manage all of your reviews and approve each reply; once approved, we post it to Google on your behalf the next business day.
• Done-for-you (Concierge): we handle your reviews for you and post quality-reviewed replies on your behalf. Lower-star (1–2★) and sensitive reviews are flagged to you for your input first.
• For Yelp and other platforms, we provide AI-drafted replies through our Quick Reply tool that you copy and post yourself; we do not post to those platforms on your behalf.

3. Account Registration

To use ReviewFloAI, you must create an account and provide accurate information. You are responsible for maintaining the security of your account credentials and for all activity under your account.

4. Google Business Profile Access

On all plans, you grant ReviewFloAI Manager access to your Google Business Profile. This is the same standard mechanism marketing agencies and review managers use. It lets us:

• Read your Google reviews
• Post quality-reviewed replies on your behalf

You remain the owner of your Google Business Profile at all times. We do not access your email, do not modify your business information, and do not take any action beyond reading reviews and posting replies. You can revoke our Manager access at any time from your Google Business Profile settings, and we will provide simple instructions on request.

5. AI-Generated Content

The Service uses artificial intelligence to generate draft responses. You acknowledge that:

• AI-generated content is a suggestion, not professional advice.
• On self-serve plans, you are responsible for reviewing and approving content before posting. On managed plans, our team reviews each response before posting on your behalf.
• We are not liable for any content you choose to post, whether AI-generated, edited, or written by you.
• AI responses may occasionally be inaccurate or inappropriate. Our quality checks reduce but do not eliminate this risk.

6. Pricing & Billing

ReviewFloAI offers a 14-day free trial with no credit card required. After the trial:

• Starter Plan: $59/month — single location; you review and approve each reply, and we post it to Google on your behalf the next business day.
• Concierge Plan: $149/month — done-for-you, single location; you grant us Manager access and we post quality-reviewed replies to Google on your behalf. For Yelp and other platforms, we provide draft replies you post yourself.

Concierge is currently offered at an introductory rate. If the standard price takes effect, existing subscribers keep the rate they signed up at for as long as their subscription remains active.

Plans are available on a monthly or annual basis. Annual plans are billed once for the full year at a discounted rate.

Prices may change with 30 days' notice. You can cancel anytime from your Billing page. No calls, no emails, no hoops. Cancellation takes effect at the end of your current billing period, and you retain access until that period ends.

Refunds. Payments are non-refundable except where required by law. When you cancel, you keep access through the end of the period you have already paid for, but we do not provide automatic or prorated refunds for the unused portion — including annual plans cancelled mid-term. We may issue refunds at our sole discretion on a case-by-case basis.

Changing plans. You may switch plans at any time from your Billing page. Upgrades take effect immediately and are charged a prorated amount for the remainder of the current period. When you move to a lower-priced plan, the unused value of your current plan is applied as account credit toward future charges rather than refunded to your payment method.

7. Data Ownership

Your data is yours. We do not sell, rent, or share your data with third parties for marketing purposes. Review content and AI-generated responses remain your property. See our Privacy Policy for full details on data handling.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to manipulate or abuse the AI system
• Post defamatory, threatening, or harassing content through the Service
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data models, or underlying processes of the Service, including AI response generation, quality assessment, and content classification systems
• Use any automated means (bots, scrapers, crawlers, or data mining tools) to access, extract, collect, or copy any data, content, or functionality from the Service
• Access or use the Service for the purpose of building, training, or improving a competing product or service, or to benchmark the Service against any competing product
• Systematically collect AI-generated responses, quality scores, or classification outputs to create a dataset or train any machine learning model
• Probe, test, or attempt to circumvent the Service's security, quality, or safety systems
• Sublicense, resell, or redistribute the Service or any output thereof
• Share your account credentials with unauthorized users

9. Intellectual Property & Proprietary Systems

The Service contains proprietary technology, including AI response generation pipelines, quality assessment logic, content classification methods, prompt engineering, and security systems. These constitute trade secrets and confidential information of ReviewFloAI.

You acknowledge that:

• The methods, rules, and configurations used to generate, evaluate, and protect review responses are proprietary to ReviewFloAI.
• AI-generated outputs, while your property to use for your business, may not be used to reverse-engineer or replicate the underlying systems that produced them.
• Any unauthorized use, reproduction, or disclosure of our proprietary systems may result in immediate account termination and legal action.

10. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time by contacting support@reviewflo.ai. Upon termination, we will delete your data within 30 days unless required by law to retain it.

11. Limitation of Liability

To the maximum extent permitted by law, ReviewFloAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that AI-generated responses will be accurate, appropriate, or error-free.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Nevada.
